1. Introduction and Acceptance of Terms
Welcome to Sourcebase! These Terms of Service (“Terms”) are a legal agreement between you (“you” or “your”) and SOURCEBASE LLC (“Sourcebase,” “we,” “us,” or “our”) that govern your access to and use of our platform, website, and related services, including any future APIs or mobile applications (collectively, the “Service”).
By accessing or using the Service, creating an account, or indicating your acceptance of these Terms (such as by clicking “I agree” or similar), you agree to be bound by these Terms. If you do not agree to them, you may not access or use the Service.
If you are using the Service on behalf of a company or other organization, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” will refer to that organization.
Please read these Terms carefully. They contain important information about your rights and obligations, including limitations of liability, disclaimers of warranties, and a dispute resolution clause.
We may update these Terms from time to time. If we make material changes, we’ll notify you by posting the updated Terms to our website, email, or through other reasonable means. Your continued use of the Service after such changes become effective will constitute your acceptance of the revised Terms.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years old to use the Service. By accessing or using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement with Sourcebase. The Service is intended for business use, but individual users may register for accounts.
2.2 Account Registration
To access certain features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information requested during the signup process. This may include, but is not limited to, your name, email address, company affiliation, and job title;
- Keep your account information up to date;
- Maintain the security and confidentiality of your login credentials; and
- Accept responsibility for all activity that occurs under your account.
You may create an account using email and password or by signing in via third-party services (such as Google, Microsoft, or LinkedIn). If you use social login, we may receive additional information from those providers as permitted by their terms and your settings.
You may not register for, access, or use the Service for the purpose of developing, marketing, or offering any product or service that competes with Sourcebase. If you are acting on behalf of a competitor or potential competitor of Sourcebase, you may only access or use the Service with our prior written consent. We reserve the right to deny or terminate access to the Service in our sole discretion in such cases.
2.3 Tenant-Based Access
If you are part of a shared organization account (a “tenant”), you acknowledge that other authorized users within the same organization may be able to view and interact with certain content you upload or create within that shared environment. You agree to use the Service in accordance with your organization’s policies and only with appropriate authorization.
3. Subscriptions, Billing & Refunds
3.1 Subscription Plans
Access to certain features of the Service may require a paid subscription. We may offer a variety of plans, including free and paid tiers, which may vary in functionality, usage limits, or support level. Your access to the Service is subject to the terms of the plan you select.
3.2 Billing and Payment
If you choose a paid subscription, you agree to pay all applicable fees in accordance with the pricing and billing terms presented to you at the time of purchase. Subscription fees may be billed on a monthly or annual basis, and payment is due in advance of each billing cycle.
You authorize us (or our third-party payment processor) to charge your chosen payment method for recurring fees until you cancel. You are responsible for keeping your payment information current. If we are unable to collect payment or your payment method is declined, we may suspend or terminate your access to the Service until all outstanding amounts are paid in full.
3.3 Auto-Renewal
Unless otherwise stated, your subscription will automatically renew at the end of each billing cycle at the then-current rate. You may cancel your subscription at any time through your account settings, but cancellations will only take effect at the end of the current billing period.
3.4 Refunds
All fees are non-refundable, including for partial months or unused features, except where required by law. However, we may, in our sole discretion, offer refunds or credits in specific situations.
3.5 Changes to Pricing or Plans
We may modify our pricing or plans at any time. If a change affects your existing subscription, we will provide you with advance notice. Continued use of the Service after a pricing change takes effect constitutes your agreement to the updated fees.
4. Use of the Service
4.1 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes or personal use, depending on your account type. You may not sublicense, rent, sell, or otherwise transfer access to the Service without our prior written consent.
4.2 Service Availability
We aim to provide a reliable and performant experience, but we do not guarantee that the Service will be uninterrupted or error-free. Access may occasionally be limited or suspended for maintenance, updates, or unexpected outages. We will make reasonable efforts to notify you of significant planned downtime.
4.3 Beta Features
We may offer access to experimental or beta features from time to time. These features are offered “as is” with no warranties or guarantees. Beta features may be modified or discontinued at any time, without prior notice, and with no liability to Sourcebase.
4.4 Third-Party Services
Certain features may enable integrations with third-party services (e.g., social logins or enrichment tools). We are not responsible for any third-party services or how they handle your data. Your use of such services is governed by their own terms and privacy policies.
4.5 Legal Compliance
You agree to use the Service only in compliance with all applicable laws, rules, and regulations, including those relating to data privacy, intellectual property, and export controls.
5. User Content & Conduct
5.1 User Content
You may have the opportunity to upload, submit, or create content through the Service, including profile information, uploaded images, saved collections, or other materials (“User Content”).
You retain ownership of any content you upload, submit, or create through the Service (“User Content”). By submitting User Content, you grant Sourcebase a worldwide, non-exclusive, royalty-free license to use, host, store, process, display, reproduce, and distribute that content as necessary to operate, maintain, and improve the Service.
This license will continue for as long as your User Content is stored or accessible within the Service, including within shared organization (tenant) environments, or as necessary to comply with legal obligations, enforce our Terms, or resolve disputes.
Upon deletion of your content or closure of your account, we will remove your User Content from active systems within a reasonable time, subject to retention in backups, audit logs, or as otherwise required by law. We will not use retained content for any other purpose.
You are responsible for ensuring that you have the necessary rights to submit any User Content, and that your content does not infringe, misappropriate, or violate the rights of any third party
.Any data or content independently collected, enriched, or generated by Sourcebase (including aggregated, de-identified, or derivative data) is and shall remain the sole property of Sourcebase.
5.2 Interactions Within Tenants
If you are part of an organization account (or “tenant”), certain User Content you create—such as collections or project tags—may be visible to other authorized users within your organization. You acknowledge and agree that such content may be shared within your tenant by design, and that administrators may have visibility into usage activity.
5.3 Conduct Requirements
You agree not to use the Service to:
- Upload or transmit any content that is unlawful, offensive, or infringes on the rights of others;
- Misrepresent your identity or affiliation;
- Interfere with the proper functioning of the Service, or attempt to access systems or data without authorization;
- Violate the security of any account, network, or system, including through unauthorized access, data scraping, or reverse engineering;
- Circumvent usage restrictions or abuse access to data available on the platform.
We reserve the right (but have no obligation) to monitor, moderate, or remove User Content at our sole discretion if we believe it violates these Terms or poses a risk to Sourcebase, our users, or third parties.
We do not guarantee that we will review all User Content, and we disclaim any responsibility or liability arising from any content provided by users or any actions we take (or fail to take) in connection with such content. We are not liable for any damages resulting from our decision to remove or not remove content, including content you may find offensive, inaccurate, or infringing.
5.4 Permitted Use
The Service is intended primarily for business-to-business (B2B) use. It is not intended for personal, family, or household purposes, or for any activities governed by consumer protection laws, including but not limited to employment screening, credit eligibility, housing decisions, or similar uses.
However, individuals such as academic researchers, developers, or students may access the Service for non-commercial exploration, provided such use complies with these Terms and does not involve the resale, redistribution, or unauthorized use of data. Use beyond these permitted purposes requires Sourcebase’s prior written consent.
6. Data Collection & Privacy
6.1 Types of Data Collected
To provide and improve the Service, we collect different types of data, including:
- Account Information: When you sign up, we collect information such as your name, email address, company name, job title, and other details you choose to provide. This may include data received through social login providers (e.g., Google, Microsoft, LinkedIn).
- Usage Data: We collect technical and usage information about how you interact with the Service, including access logs, IP addresses, feature usage, and preferences.
- Public and Enriched Data: Sourcebase also gathers and enriches data from publicly available sources and third-party data providers to power our core platform features. This data may include business profiles, job titles, and open-source activity associated with individuals and organizations. You agree to use any data obtained through the Service solely for lawful business-to-business purposes in compliance with all applicable data protection regulations.
6.2 Privacy Policy
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect personal data. By using the Service, you consent to the practices described in that policy. Once published, our Privacy Policy will be available at: [home.sourcebase.app/privacy].
6.3 Data Ownership and Use
We do not sell your personal information with third parties for their own marketing purposes. Data that you upload or generate within your Sourcebase account will only be used to provide the Service, support your tenant’s usage, and improve our platform.
We may use de-identified or aggregated data to analyze usage trends, train models, or improve the performance of the Service.
7. Intellectual Property
7.1 Ownership
The Service, including all software, visual interfaces, text, data compilations, analytics, code, designs, trademarks, logos, and other content or materials made available by or on behalf of Sourcebase (collectively, the “Sourcebase Materials”), are and will remain the exclusive property of Sourcebase, LLC and its licensors. Except for the limited rights expressly granted to you in these Terms, no rights are granted, and all rights are reserved.
You agree not to copy, modify, distribute, sell, lease, reverse engineer, decompile, or otherwise attempt to extract the source code or underlying ideas of any portion of the Service, except as expressly permitted by law or with our prior written permission.
7.2 Feedback
We welcome feedback, suggestions, or ideas about the Service (“Feedback”), but you understand that we may use your Feedback without restriction or obligation to compensate you. You hereby grant us a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use and incorporate any Feedback into the Service.
7.3 Customer Content
You retain ownership of any content or data you upload to or create within the Service (as defined in Section 5), subject to the license granted to us for the limited purpose of operating and improving the Service.
8. Prohibited Uses
You agree not to use the Service (or any data or content made available through the Service) in any way that:
- Violates laws or regulations, including data privacy, anti-spam, or export control laws;
- Scrapes, mines, or extracts data from the Service using automated tools (such as bots, crawlers, or scripts) or third-party services without our prior written consent;
- Reverse engineers, decompiles, disassembles, or attempts to discover the source code or underlying structure of the Service;
- Resells, sublicenses, republishes, or otherwise distributes Sourcebase data to third parties, whether for commercial purposes or not, except as expressly permitted under your subscription plan;
- Uses the Service or any Sourcebase data to develop, train, improve, benchmark, or validate any product, service, or dataset that competes, or could reasonably be expected to compete, with Sourcebase or any of its core features;
- Accesses the Service on behalf of, or for the benefit of, a Sourcebase competitor, or any entity seeking to replicate or evaluate the Service’s features, user interface, data model, or business model;
- Attempts to circumvent access controls, rate limits, usage thresholds, or subscription restrictions;
- Interferes with the normal operation of the Service, including through denial-of-service attacks, unauthorized access, or excessive load;
- Violates the rights of others, including intellectual property, privacy, or publicity rights;
- Introduces malware, viruses, or other harmful or disruptive code;
- Accesses the Service using false credentials, impersonation, or by misrepresenting your affiliation with an organization;
- Attempts to probe, scan, or test the vulnerability of any Sourcebase system or network;
- Uses the Service or its data for any purpose regulated by the Fair Credit Reporting Act (FCRA), including to evaluate an individual’s eligibility for credit, employment, insurance, housing, or similar decisions.
We reserve the right to investigate and take appropriate action—including suspension, termination of access, or legal action—if we believe you are engaging in any prohibited conduct. We reserve the right to determine, in our sole discretion, whether any user or organization constitutes a competitor or is acting on behalf of a competitor, and to suspend or terminate access to the Service accordingly.
9. Account Suspension & Termination
9.1 Termination by You
You may terminate your account at any time by following the instructions within your account settings or by contacting us at privacy@Sourcebase.app. Termination will take effect at the end of your current billing cycle, and no refunds will be issued unless required by law or otherwise stated in Section 3.4.
9.2 Suspension or Termination by Sourcebase
We reserve the right, in our sole discretion, to suspend or terminate your access to the Service at any time and without prior notice if:
- You violate these Terms, including the Prohibited Uses listed in Section 8;
- You fail to pay any fees when due;
- We reasonably believe your use of the Service may cause harm, interfere with its operation, or expose us or others to liability;
- You attempt to access the Service as or on behalf of a Sourcebase competitor without our written permission.
We also reserve the right to suspend or limit access to specific features or data sets if we detect abuse, excessive usage, or other activity that could negatively impact the stability or security of the Service.
9.3 Effect of Termination
Upon termination of your account for any reason:
- Your access to the Service will end;
- Any data or content associated with your account may be deleted in accordance with our data retention policies;
- Sections of these Terms that by their nature should survive termination (including but not limited to Sections 5, 6, 7, 8, 9.3, 10, 11, and 13) will remain in effect.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Sourcebase DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND RELIABILITY.
We do not guarantee that:
- The Service will be uninterrupted, secure, or error-free;
- The data provided through the Service, including third-party or enriched data, is complete, accurate, or up to date;
- The results of using the Service will meet your expectations or business needs;
- Any errors in the Service will be corrected.
We are not responsible for the availability, accuracy, or functionality of any third-party services or data sources that may integrate with or be accessible through the Service, including data from enrichment providers, public websites, or social login services. Your use of third-party services is governed by their respective terms.
Your use of the Service is at your sole risk. You are solely responsible for any damage to your devices or systems, loss of data, or other harm that results from your use of the Service.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOURCEBASE, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR YOUR USE OF THE SERVICE, REGARDLESS OF THE FORM OF THE ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID TO SOURCEBASE FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
This limitation applies whether the damages arise from the use or misuse of the Service, from reliance on the Service, from inability to use the Service, or from the interruption, suspension, or termination of the Service.
Nothing in these Terms shall limit or exclude liability for:
- Death or personal injury caused by gross negligence,
- Willful misconduct or fraud,
- Or any other liability that cannot be excluded by applicable law.
12. Export Compliance & DMCA
12.1 Export Compliance
You may not access or use the Service if you are located in a jurisdiction subject to a U.S. government embargo, are listed on any U.S. government list of restricted or prohibited parties (including the Specially Designated Nationals list), or if such use is otherwise prohibited under applicable export control laws.
You agree to comply with all applicable U.S. and international export control laws and regulations in connection with your use of the Service.
12.2 Digital Millennium Copyright Act (DMCA)
We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content on the Service infringes your copyright, you may submit a written notification under the Digital Millennium Copyright Act (DMCA) to our designated agent at:

Your DMCA notice must include:
- A description of the copyrighted work you claim has been infringed;
- The URL or description of where the allegedly infringing material appears;
- A statement that you have a good faith belief the use is not authorized by the copyright owner;
- A statement under penalty of perjury that the information you provide is accurate and that you are the copyright owner or authorized to act on their behalf;
- Your physical or electronic signature.
We may remove or disable access to content that is the subject of a valid DMCA notice and may terminate accounts of repeat infringers.
13. Dispute Resolution
13.1 Governing Law and Venue
These Terms and any related dispute will be governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict of law principles. Any legal action or proceeding relating to your access to or use of the Service must be brought in a state or federal court located in New York, and you consent to the exclusive jurisdiction of such courts.
13.2 Informal Resolution
Before initiating formal legal action, you agree to contact us at privacy@Sourcebase.app and attempt to resolve the dispute informally. Most disputes can be resolved quickly and amicably in this way.
13.3 Binding Arbitration
If we are unable to resolve the dispute within 30 days of your initial notice, you and Sourcebase agree to resolve any claim, dispute, or controversy (excluding claims that qualify for small claims court) through final and binding arbitration. The arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA), and will take place in New York State or remotely at your election.
Each party will be responsible for its own legal fees and costs, but the costs of arbitration (including arbitrator fees and filing fees) will be split equally between the parties, unless the arbitrator determines that such allocation would be unjust or inconsistent with applicable law.
The arbitrator will have the authority to award relief as permitted by law, but may not award punitive damages or certify a class. You agree that all claims must be brought on an individual basis and not as part of a class or representative action.
13.4 Exceptions
Either party may bring an individual action in small claims court or seek injunctive or equitable relief in a court of competent jurisdiction to stop unauthorized use or abuse of the Service or infringement of intellectual property rights.
14. Modifications
We may update or modify these Terms from time to time. If we make material changes, we will provide notice by updating the “Last Updated” date at the top of this page and, where appropriate, by email or in-app notification.
Your continued use of the Service after any changes to the Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
We may also modify or discontinue parts of the Service at any time, with or without notice, including features, content, or access to certain plans. We are not liable for any modification, suspension, or discontinuation of the Service.

Section 16: Miscellaneous
16.1 Entire Agreement
These Terms (including any other agreements or policies referenced herein, such as our Privacy Policy) constitute the entire agreement between you and Sourcebase with respect to the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, relating to the subject matter of these Terms.
16.2 Waiver
Our failure to enforce any right or provision under these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Sourcebase.
16.3 Severability
If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
16.5 Force Majeure
We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor conditions, governmental action, internet disturbances, or power outages.
16.6 No Agency
No agency, partnership, joint venture, or employment relationship is created between you and Sourcebase as a result of these Terms or your use of the Service.
16.7 Survival
Any provisions of these Terms that by their nature should survive termination (including but not limited to Sections 5, 6, 7, 8, 9.3, 10, 11, 13, and this Section 16) shall survive termination of your account or these Terms.

The section headings used in these Terms are for convenience only and have no legal or contractual effect.
